Paramount Raises Bid for Warner Bros Amid Netflix Competition

Paramount Skydance has raised its offer to acquire Warner Bros Discovery, increasing its bid by $1 per share to $31 in cash, with additional compensation if completion is delayed. The company, supported by billionaire Larry Ellison and led by his son David Ellison, has been pursuing Warner Bros since last year in an effort to expand its presence in Hollywood. Warner Bros had previously agreed to sell its film and streaming assets, including HBO, to Netflix for $27.75 per share, a deal valued at approximately $82 billion including debt. Paramount’s revised offer also includes a $7 billion breakup fee and covers the $2.8 billion fee Warner Bros would owe Netflix if the original merger were canceled. Warner Bros’ board has not made a final decision, stating it will continue discussions to determine if a superior proposal can be reached. Lawmakers have raised concerns about both offers regarding potential monopolies and the broader impact on the entertainment industry. Netflix co-CEO Ted Sarandos emphasized the ongoing process of price discovery but did not indicate whether Netflix would counter Paramount’s new bid. Analysts suggest the bidding war could drive the final price as high as $33 per share. This development underscores the competitive nature of mergers in the media industry and the strategic maneuvers by major studios to consolidate their market positions.
